Welcome to PrismXLabs ("PrismXLabs," "PRISM," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the PrismXLabs platform, website, reports, data products, research services, AI-powered tools, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be legally bound by these Terms.

1. Eligibility

You represent and warrant that:

  • You are at least eighteen (18) years of age or the age of majority in your jurisdiction;
  • You have authority to bind yourself and/or the organization you represent;
  • Your use of the Services complies with all applicable laws and regulations.

2. Ownership and Intellectual Property

All reports, datasets, research, software, AI-generated outputs, visualizations, models, methodologies, trademarks, logos, graphics, and content available through PrismXLabs are owned by PrismXLabs or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Except as expressly permitted, no ownership rights are transferred to users.

3. Limited License

PrismXLabs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal use or your organization's internal business purposes.

You may not:

  • redistribute reports;
  • resell content;
  • publish substantial portions of research;
  • scrape or systematically extract data;
  • create competing products using PrismXLabs content;
  • reverse engineer software or AI systems;
  • remove copyright notices or proprietary legends.

4. AI-Generated Content

Certain Services may generate forecasts, analyses, summaries, recommendations, or predictive insights using artificial intelligence.

Such outputs are informational only and should not be considered financial, legal, investment, engineering, tax, or professional advice.

Users remain solely responsible for decisions made based on AI-generated outputs.

5. User Accounts

Users are responsible for maintaining the confidentiality of login credentials.

Accounts are personal and may not be shared unless expressly authorized under an enterprise subscription.

PrismXLabs may suspend accounts that demonstrate excessive simultaneous use or unauthorized sharing.

6. Acceptable Use

Users shall not:

  • violate applicable laws;
  • interfere with platform security;
  • introduce malware;
  • attempt unauthorized access;
  • use automated tools without permission;
  • harvest user information;
  • upload unlawful or infringing content;
  • misuse AI services to generate unlawful or harmful content.

7. User Content

Where users upload documents, datasets, prompts, or other materials, they retain ownership of such content but grant PrismXLabs a limited license to process the content solely for providing and improving the Services.

PrismXLabs does not claim ownership of customer proprietary data.

8. Confidentiality

Subscriber-only research, pricing, methodologies, datasets, APIs, dashboards, and AI models constitute confidential information.

Users agree not to disclose confidential materials to third parties without written permission.

9. Subscription and Fees

Certain Services require paid subscriptions.

Fees are payable according to the applicable order form or subscription agreement.

Unless otherwise specified:

  • subscriptions automatically renew;
  • fees are non-refundable;
  • taxes are additional where applicable.

10. Third-Party Data

PrismXLabs may incorporate information licensed from third parties. Such information remains subject to the rights of its original owners and may not be redistributed independently.

11. No Investment or Professional Advice

Nothing contained within the Services constitutes:

  • investment advice;
  • legal advice;
  • accounting advice;
  • regulatory advice;
  • tax advice.

PRISM is a research and information platform. It is not a SEBI-registered investment adviser or research analyst. Investments in securities markets are subject to market risks. Users should consult qualified professionals before relying on any analysis.

12. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE."

PrismXLabs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted service or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law, PrismXLabs shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, business interruption, or loss of data.

PrismXLabs' aggregate liability shall not exceed the fees paid by the customer during the twelve months preceding the event giving rise to the claim.

14. Indemnification

Users agree to indemnify and hold harmless PrismXLabs, its officers, employees, affiliates, licensors, and partners from claims arising from:

  • misuse of the Services;
  • violation of these Terms;
  • infringement of third-party rights;
  • unlawful conduct.

15. Suspension and Termination

PrismXLabs may suspend or terminate access immediately where users:

  • breach these Terms;
  • engage in fraudulent activity;
  • compromise platform security;
  • misuse research or AI outputs;
  • violate applicable law.

Termination does not affect accrued payment obligations.

16. Privacy

Use of the Services is subject to the PrismXLabs Privacy Policy.

By using the Services, users consent to data collection and processing necessary to provide the Services.

17. Export Controls and Sanctions

Users shall not use the Services in violation of applicable export control laws, sanctions regulations, or trade restrictions.

PrismXLabs reserves the right to suspend access where required by law.

18. Governing Law

These Terms shall be governed by the laws of India, without regard to conflict of law principles.

The courts located in Mumbai, India shall have exclusive jurisdiction over disputes arising from these Terms.

19. Changes to Terms

PrismXLabs may modify these Terms at any time.

Continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
